Incorporation and Hierarchy of Terms

The Terms and Conditions as set forth form an extension of and must be read together with the supporting “Main Terms”. They do not apply in isolation but constitute supplementary provisions that operate concurrently with the Main Terms.

In accordance with the Consumer Protection Act, 2008, these Terms are drafted to ensure fairness, reasonableness, and transparency, and no provision herein is intended to unlawfully limit the Customer’s statutory rights or remedies.

In the event of any conflict or ambiguity between these Terms and the Main Terms, the interpretation that best promotes fairness, consumer protection, and legal compliance shall apply, provided that the Main Terms shall prevail unless expressly stated otherwise in writing.

By entering into any agreement governed by these Terms, the Customer confirms that they have been afforded a reasonable opportunity to review and understand both these Terms and the Main Terms, and acknowledges that both sets of terms apply jointly.

Disclaimer: Indemnification Between Group Entities

Verte Energy Groupe , Vert Corporate House (Pty) Ltd, Vert Energy Africa (Pty) Ltd, Vert Energy Systems (Pty) Ltd, Vert Amandla (Pty) Ltd and Vert Marketing (Pty) Ltd (collectively referred to as the “Vert Group” or individually as a “Group Entity” or “ The Company”, “Owner”,  “Lessor”) agree to the following indemnification terms:

Each Group Entity hereby agrees to indemnify, defend, and hold harmless the other Group Entities, including their respective directors, officers, employees, agents, and affiliates, against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

a) Any breach of this agreement by the indemnifying Group Entity;

b) Any negligent, unlawful, or wrongful act or omission by the indemnifying Group Entity;

c) Any misrepresentation, fraud, or misconduct committed by the indemnifying Group Entity;

d) Any regulatory, tax, contractual, or statutory non-compliance attributable to the indemnifying Group Entity;

e) Any third-party claims arising from operations, services, or obligations performed solely by the indemnifying Group Entity.

Each Group Entity accepts full responsibility for its own operations, employees, financial obligations, regulatory compliance, and contractual liabilities, and shall fully indemnify and hold harmless the other Group Entities from any liability, loss, penalty, tax assessment, reputational damage, or claim arising from its independent acts or omissions.

No Group Entity shall be deemed a partner, joint venturer, or legal agent of another unless expressly agreed in writing.
